Sinopec Loses China Gas, But Might Save Face
China Petroleum & Chemical Corp., or Sinopec, has officiallyended its pursuit of a small natural gas operator in China. Butthe two sides may have managed to come to an optimal, face-saving happy ending.
Sinopec said Monday it will drop its hostile bid with Hong Kong-listed ENN Energy Holdings Ltd., launched in December, forChina Gas Holdings Ltd., marking a surprise defeat for the state-owned firm on its home turf whenit has been on an acquisitive streak around the world. With its founder and other white knightsbuying shares in China Gas above the Sinopec offer price, the deal had been as good as dead evenbefore another state-backed entity Beijing Enterprises Group, began buying up shares in May.
However, the two companies signed a strategic cooperation agreement that would allow Sinopecto sell natural gas directly to Chinese homes. Sinopec and other strategic shareholders would alsobe allowed to buy shares in the future in China Gas. The two would also set up joint venturesaimed at developing China’s liquefied petroleum gas retail market, and compressed natural gas (CNG) refilling stations in China.
Goldman Sachs said in a note that the agreement is an “alternative way for Sinopec to gainexposure to China Gas’s gas distribution assets,” amid a growing push by China’s government toboost the usage of cleaner energy sources like natural gas.
For China Gas, brokerage CIMB said Sinopec could help the company “speed up its expansion inthe vehicle gas market by converting its petrol stations into CNG refueling stations,” while Sinopeccan also provide financing and help with tendering for city gas projects.
Jefferies says though firm details on the collaboration are still lacking, if successfully executed, thetie-up between the two could even help China Gas challenge its larger rival Kunlun Energy Co., which counts Singapore’s Temasek Holdings Pte. Ltd. as an investor.
China Gas shares closed down 4.19% on Tuesday, still above the $3.50 price per share offered bySinopec and ENN. CIMB said although a hoped-for takeover battle for China Gas has now ended, cooperation with Sinopec could continue to support the gas company’s share price.

中国石化周一说，将放弃去年12月开始与香港上市企业新奥能源控股有限公司(ENN EnergyHoldings Ltd.)联手对中国燃气控股有限公司(China Gas Holdings Ltd., 简称：中国燃气)发起的敌意收购。这标志着国有企业中国石化在完成一系列国际收购的时候，却出人意料地折戟本土市场。随着创始人和其他友善投资者以高于中国石化报价的价格收购中国燃气股份，在同为国有企业的北京控股集团有限公司(Beijing Enterprises Group)5月份开始购进股份之前，这笔收购就已经注定无果而终了。
但两家公司签署了一份战略合作协议，使中国石化能够直接向中国家庭出售天然气。中国石化及其他战略股东将来还可以购买中国燃气的股份。另外，两家公司将成立旨在开发中国液化气零售市场、建立压缩天然气加气站的合资企业。
高盛(Goldman Sachs)在研究报告中说，在中国政府以越来越大的力度推动天然气等清洁能源的使用之际，这份协议为中国石化投资中国燃气分销资产提供了新的途径。
券商CIMB说，对中国燃气来说，中国石化可以将它的加气站转化成中国石化加油站，从而帮助它在汽车燃气市场加快扩张步伐，同时中国石化还可以为它提供融资，帮它参与城市燃气项目投标。
